Suitable for a business created by two or more partners. An LLP must have at least two members, who may be individuals or legal entities. It has no shareholders or directors, and management is generally governed by an LLP Agreement. In 2026, members also undergo Identity Verification. An LLP is usually tax-transparent: profits are taxed at member level according to tax residence. It files Annual Accounts and a Confirmation Statement with Companies House.
Limited Partnership (LP)
Most often used for investment structures and certain international projects. An LP needs at least one General Partner, who manages it, may bind it and has unlimited liability, and one Limited Partner, whose liability is limited to their contribution and who must not manage the business. Partners may be individuals or legal entities, including non-residents. The partnership exists only after Companies House registration. An LP generally does not file financial statements.
