Why entrepreneurs choose Estonia for company formation

0% tax on retained profit

This is the principal advantage of Estonia's tax system. No profits tax is paid while profit remains in the company and is used for growth. The 22% tax arises only when dividends are paid. For entrepreneurs reinvesting in growth, this is a significant advantage over Poland or Cyprus, where tax is charged annually whether or not money is distributed.

Fully remote management through e-Residency

Estonia is Europe's most digital international-business jurisdiction, with a state digital residency programme. e-Residency provides an Estonian digital signature for signing corporate documents online from anywhere. Formation, contracts and reporting require no travel to Estonia.

Simple administration and transparent accounting

Estonia consistently reduces administrative burdens. Most small companies manage accounting themselves or through a local accountant. The e-MTA portal allows online filing in 20–30 minutes. There are no monthly advance profits tax payments: you pay only when funds are actually distributed.

Access to EU banking infrastructure

An Estonian OÜ can work with European banks and modern business fintech platforms such as Wise, Revolut, Paysera and Payoneer. Entrepreneurs gain access to SEPA and SWIFT payments, multi-currency accounts, international transfers and convenient online-commerce tools.

Reputation and access to the EU market

You own a fully fledged European company, and clients in Germany, the Netherlands and France perceive the structure accordingly. There are no questions about where it is based or whether it is reliable. This matters for B2B contracts with large corporations.

When company formation in Estonia may be not the best solution

If you distribute dividends regularly

Estonia's model is beneficial for reinvestment, but dividends attract 22% corporate tax. If the owner plans to distribute a substantial share of profits regularly, lower-tax jurisdictions may sometimes be more advantageous.

If your business targets markets outside the EU

For companies working mainly with the US, a UK LTD or Delaware LLC may sometimes be more convenient for banks, payment providers and corporate clients. This can simplify financial onboarding, access to certain services and use of US business infrastructure.

If the business operates only in a local market

When clients, the team and operations are all in one country, a foreign company is not always justified. It may complicate accounting, tax administration and support without significant practical benefits.

If complete tax 'anonymity' is required

Estonia is a transparent European jurisdiction with automatic tax information exchange, a public register, compliance procedures and EU regulatory requirements.

A common misconception is that Estonia has no profits tax at all. In fact, tax arises when dividends are paid to the owner.

Estonia’s model is most beneficial for businesses reinvesting profits in growth. The operating model and payment structure should therefore be assessed before formation.

Ignore VAT and EU tax rules

Companies serving EU clients often need VAT registration. Errors may lead to fines or tax-authority problems.

We determine when VAT is mandatory for your business and support registration.

Build the management structure incorrectly

Ownership and management errors can cause difficulties with banks, document signing and ongoing administration.

Frequently asked questions about formation companies in Estonia

How much does company formation in Estonia cost?

The cost depends on the structure, number of founders, VAT, bank account, e-Residency and banking compliance requirements.

Government fees, registered office, accounting and owners' jurisdictions also affect the final cost. An exact estimate is possible only after a short consultation and analysis.

How long does it take to open a company in Estonia?

On average, company formation takes several business days to several weeks, depending on the formation method (online through e-Residency or through a notary), and the company structure.

If e-Residency must be obtained, the process may take longer due to the Estonian authorities' review time.

Do I need to travel to Estonia in person for company formation?

In most cases, no. Formation is remote: we prepare documents and arrange signing and filing with the Commercial Register without a personal visit.

What taxes does the owner of an Estonian company pay?

The owner's tax burden depends on the country of tax residence, how income is received and the company's payment structure.

Company formation in Estonia does not automatically change the owner's tax residence. Individual obligations are generally determined by the country where the person lives and is tax resident.

The owner may have tax obligations on dividends and salary, as well as CFC and foreign company declaration duties.

Before formation, KRYNO analyses both Estonian corporate taxes and the owner's personal burden under the rules of the country of tax residence.

What is the tax burden for an Estonian company?

Estonia has one of Europe's best-known corporate tax models: profits tax generally arises when dividends are paid rather than when the company earns profit.

An Estonian company may be subject to corporate tax on profit distributions, VAT when operating in in the EU or reaching thresholds, payroll taxes when it has employees, and tax on certain payments depending on the business structure.

Do I need to become an Estonian tax resident?

No. The owner or director may remain a tax resident of Ukraine or another country.

e-Residency is neither citizenship nor tax residence. It is a digital tool for remote company management and online document signing.

Must an Estonian company be declared in Ukraine?

Controlled foreign company (CFC) rules requiring foreign business disclosure apply to Ukrainian tax residents.

Can the company be managed without e-Residency?

Yes, but it is much more difficult in practice. Without e-Residency, most documents require notarisation or additional powers of attorney.

We therefore recommend obtaining e-Residency when company formation begins.

What if the company needs to be closed?

Liquidation in Estonia also follows an official procedure: closing accounts, filing reports and working with the registry and tax authorities.

We support not only company opening but also ongoing administration, accounting and liquidation where required.

Can a company have several founders?

Yes. An Estonian company may have one or more founders, including non-residents.

With several owners, interests, corporate rights and management procedures must be structured correctly. This is especially relevant to IT teams, SaaS projects and international partnerships.

How stable is Estonia's business law?

Estonia is among the EU's most stable and predictable jurisdictions for international business.

The country has long supported digital company administration, online entrepreneur services and a transparent tax system, making it popular with IT, SaaS and international service businesses.
